(e) On May 17, 2007, our stockholders approved an amendment and restatement of our 2005 Equity Incentive Plan (the “Incentive Plan”) to increase the number of shares of common stock authorized for issuance under the Incentive Plan from 1,000,000 shares to a total of 2,000,000 shares; and to expand the type and nature of the awards available for grant under the Incentive Plan to include cash awards that qualify as “performance-based compensation” under Section 162(m) of the Internal Revenue Code of 1986, as amended.
