Item 3.02 Unregistered Sales of Equity Securities
On November 25, 2005, the Board of Directors of Natural Health Trends Corp. (the “Company”) authorized the issuance of options to purchase a total of 84,500 shares of the Company’s common stock as incentive compensation to certain executive officers and employees of the Company. Each of the options are exercisable at $10.50 per share (the closing price of the Company’s common stock on the date of issuance), which exercise price may be paid in cash or through the tender of shares of the Company’s common stock. The issued options, all of which vest and become exercisable in three equal annual installments over a three-year period, include grants to Curtis Broome, the Company’s President of Greater China and Southeast Asia (25,000 options); Chris Sharng, the Company’s Executive Vice President and Chief Financial Officer (12,500 options); and John Cavanaugh, the Company’s President of MarketVision (7,500).
The options were issued under the Company’s 2002 Stock Option Plan and pursuant to Section 4(2) of the Securities Act of 1933, as amended (as the issuance of such options did not involve a public offering).
