Item 5. Other Events
Raymond Bills resigned from the Board of Directors and as an Officer of the
Registrant. John Iannetta was named President of the Registrant and named to
the board of directors. Halla Moran was named Secretary of the Registrant and
named to the board of directors.
On July 18, 2002 the Registrant announced that the Registrant entered
into an Agreement and Plan of Reorganization with Quicktest 5, Inc. The
information contained in the press release is incorporated herein by reference
and filed as Exhibit 99.1.
