Explanation of Responses:

1. Represents restricted stock units (RSUs) for Class A common stock constituting dividend equivalent rights (DERs) issued pursuant to existing Class A common stock RSUs held by the holder (the "Underlying Class A RSUs"). DERs are issued with regard to the Underlying Class A RSUs, which bear dividend equivalent rights, when and as dividends were paid on the Issuer's Class A common stock. Each DER represents a contingent right to receive one share of Class A common stock. With respect to 77 of the DERs, the DERs vest in a series of three equal installments on the dates that are 13, 24 and 36 months following the date of grant of the corresponding Underlying Class A RSUs. With respect to 53 of the DERs, the DERs vest as to 100% of the shares on the earlier of the date before the next annual meeting of shareholders or the first anniversary of the date of grant of the corresponding Underlying Class A RSUs.

2. Certain of the Underlying Class A RSUs and the DERs issued pursuant thereto are subject to a deferral delivery feature.
