Item 4.02 Non-Reliance on Previously Issued Financial Statements or a Related Audit Report on Completed Interim Review
(a) On August 8, 2006, Toreador Resources Corporation (the “Company”) filed a Current Report on Form 8-K relating to the restatement of the consolidated financial statements of the Company as of and for the three months ended March 31, 2006. The Company is in the process of preparing the restated financial statements and Form 10-Q/A for the quarter ended March 31, 2006. Once completed, the Company’s independent registered public accounting firm will need to complete its review prior to the Company filing the Form 10-Q/A. The Company anticipates being able to file the Form 10-Q/A by August 25, 2006.
