1. We note that the company has not filed quarterly reports since
the
third quarter of 2002.  Although we note the company`s previous
disclosure its Form 12b-25 dated November 12, 2002 regarding its
inability to file, please note that your failure to file since the
third quarter of 2002 is a violation of Section 13(a) of the
Securities Exchange Act of 1934 and Rule 13a-13 for each quarterly
report that you have failed to file.  Please advise when the
company
will resume filing quarterly reports in compliance with its
obligations under the Exchange Act.
