         of Delaware as the exclusive forum for certain litigation, including

any duty or liability
         created by the Exchange Act of 1934 or the rules and regulations
thereunder, nor the
         concurrent jurisdiction of federal and state courts over all such

clearly state whether your
         forum selection provision applies to actions arising under the
