Please revise to disclose the material risks to unaffiliated investors presented by taking the company public through a merger rather than an underwritten offering. These risks could include the absence of due diligence conducted by an underwriter that would be subject to liability for any material misstatements or omissions in a registration statement. "Sponsor, certain members of the Board and officers of CMLS II ...", page 90 2. We note your risk factor on page 90 that the sponsor, certain members of the Board, and officers of CMLS II will benefit from the completion of a business combination. "CMLS II and SomaLogic will incur significant transaction and transaction costs ....", page 95 3. We note that the aggregate transaction expenses as a result of the Business Combination are expected to be approximately $35 million. Specifically, revise to clarify that recent common stock trading prices exceed the threshold that would allow the company to redeem public warrants.
