ITEM 7.01         REGULATION FD DISCLOSURE.

On October 21, 2004, The Black & Decker Corporation (the Corporation)  announced
that the United States District Court of Maryland has granted the  Corporation's
motion for summary judgment on its complaint  against the United States Internal
Revenue  Service  and the  related IRS  counterclaim.  Attached to this  Current
Report on Form 8-K as Exhibit 99 is a copy of the  Corporation's  related  press
release dated October 21, 2004.
