(the "Company") approved amendments to Article II, Section 2 and Article III, Section 11 of the Company's By-laws, effective immediately. The By-law amendments: (i) clarify various provisions that require advance notice of shareholder proposals and nomination of directors; (ii) impose additional disclose requirements on shareholders who propose to bring business before a shareholders' meeting or nominate directors for election at a shareholders' meeting, including the identification of both the record and beneficial owners of their shares and of any derivative instruments or other arrangements relating to the shares; and (iii)revise the time periods for shareholders to give advance notice of their intention to bring business before a meeting or to nominate directors, from not less than 90 nor more than 120 days before the anniversary date of the most recent annual meeting to not less than 120 nor more than 150 days before the anniversary date of the meeting.
