                SUPPLEMENT TO PROSPECTUS DATED DECEMBER 31, 1997


Effective September 23, 1998, the following sentences are hereby substituted for
the first and second sentences of the third paragraph of the section entitled
"DETERMINATION OF INTEREST RATES" located on page 23 of the prospectus dated
December 31, 1997:

     "On the date of this Prospectus, as amended September 23, 1998,
     the Bond Interest Rate was 7.00%, 7.15%, 7.00% and 7.15% on Ten-
     Year, Series A, Series B, Series E and Series F Bonds,
     respectively, and 6.50%, 6.65%, 6.50% and 6.65% on Five-Year,
     Series C, Series D, Series G and Series H Bonds, respectively.
     On the date of this Prospectus, as amended September 23, 1998,
     the Certificate Interest Rate was 5.50% on Demand Loans
     Certificates."
