Item 4.   Changes in Registrant's Certifying Accountant

          On July 10, 2001, Initio, Inc. (the "Company")

terminated its client-auditor relationship with its independent

public accountants, Arthur Andersen LLP ("Arthur Andersen") after

failing to reach an agreement with Arthur Andersen on its fees

for the audit of the Company's financial statements for the

fiscal year ended April 30, 2001.

          Arthur Andersen's report on our financial statements

for either of the past two fiscal years ended April 30, 2000 and

1999 did not contain an adverse opinion or disclaimer of opinion

nor was it modified as to uncertainty, audit scope, or accounting

principles.

          The decision to change accountants was made by the

Company's President on July 10, 2001.

          During the past two fiscal years ended April 30, 2000

and 1999 and the subsequent interim period through January 31,

2001, the Company has not had any disagreements with Arthur

Andersen on any matter of accounting principles or practices,

financial statement disclosure, or auditing scope or procedure,

which, if not resolved to Arthur Andersen's satisfaction, would

have caused it to make reference to the subject matter of the

disagreement in connection with its report and the financial

statements for such years.

          The Company has requested that Arthur Andersen furnish

a letter addressed to the Securities and Exchange Commission

stating whether Arthur Andersen agrees with the above statements.

A copy of such letter dated July 13, 2001 is attached as Exhibit

16.1 to this Report on Form 8-K.
