Item 5.    Other Events and Regulation FD Disclosure.


        On August 2, 2004, Molex Incorporated (the "Company") issued a press
 release announcing that the Board of Directors has authorized a 50 percent
 increase in the Company's quarterly cash dividend. The Board also authorized
 the purchase of up to an aggregate  value of $100 million of the Company's
 outstanding Common and Class A stock during the fiscal year ending June 30,
 2005. The press release is furnished as Exhibit 99 hereto and incorporated
 herein by reference.
