Item 5.  Other Events

   On September 29, 1999 the Federal Energy Regulatory
Commission (FERC) approved the previously announced proposed
merger between New England Electric System (NEES) and Eastern
Utilities Associates.  In its approval order, the FERC found that
the proposed merger is consistent with the public interest and
will not adversely affect competition, rates, or effective
regulation.

   In December 1998, NEES announced that it plans to merge with
The National Grid Group plc (National Grid).  Upon completion of
the merger, NEES will become a wholly owned subsidiary of
National Grid and its base of U.S. operation.

   Both mergers are subject to regulatory approval and are
expected to close by early 2000.

The name "New England Electric System" means the trustee or
trustees for the time being (as trustee or trustees but not
personally) under an agreement and declaration of trust dated
January 2, 1926, as amended, which is hereby referred to, and a
copy of which as amended has been filed with the Secretary of The
Commonwealth of Massachusetts.  Any agreement, obligation or
liability made, entered into or incurred by or on behalf of New
England Electric System binds only its trust estate, and no
shareholder, director, trustee, officer or agent thereof assumes
or shall be held to any liability therefor.
