PART III: NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-
Q, N-SAR, or the transition report or portion thereof, could not be filed
within the prescribed time period.

The Form 10-QSB cannot be filed within the prescribed time period as the late
filing of Form 10-KSB due to the Company's independent auditor needing
additional time to resolve issues raised by the Securities Exchange
Commission.  The Company could not move forward into the first quarter
preparations for filing until these matters were resolved and the Form 10-KSB
was duly filed.  Administrative staffing is minimal and the late filing
created a set-back in the timely filing of the Form 10-QSB.

The significant change in the Company's balance sheet for the three-month
period ended March 31, 2002, compared with the same period ended March 31,
2001, will reflect the impairment charge of the unamortized capitalized
development  costs for the 2283 Winze of approximately $799,000, as stated on
the Company's Form 10-KSB for the period ended December 31, 2001.
