Item 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On March 11, 2005, First Montauk Financial Corp. (the "Registrant") issued
a press release announcing results for the fiscal year ended December 31,
2004. A copy of the press release is attached as exhibit 99.1.
