Item 5. Other Events.

James E. Gustafson has been elected president and chief
operating officer of The St. Paul Companies. The
announcement was made by Douglas W. Leatherdale, chairman
and chief executive officer of The St. Paul Companies.
Gustafson has also been elected to the board of directors of
The St. Paul.
Gustafson, 52, had been president and chief operating
officer of General Re Corporation, the international
reinsurer, based in Stamford, Connecticut.
