CERTAIN OFFICERS.
On October 21, 2007, Chairman Edward L. Machulak, passed away at the age
of 81. On October 22, 2007, the Board of Directors consented to the
appointment of Edward A. Machulak as Temporary Chairman until the
Company's annual meeting. The Company's annual meeting is scheduled to
take place on October 26, 2007.
