Acquisition or Disposition of Assets The Registrant sold North Park Plaza to Nat Franklin, an unrelated party, on May 31, 1996, for $3,400,000. The Registrant also sold Parker Plaza Shopping Center to ASG Real Estate Company, an unrelated party, on June 5, 1996, for $5,500,000. The Registrant is currently evaluating its cash needs to determine what portion of the net proceeds can be distributed to its partners in the near future. Item 7.
