the CBI Pension Trust  in satisfaction of the Company's  funding
requirement to the CBI Pension Trust, 70,981 shares of its Common
Stock, $2.50 par value per share (the "Common Stock") having an
aggregate market value of $2,093,939.50 or $29.50 per share based
upon the closing price of the Common Stock on the New York Stock
Exchange on September 14, 1994.  There is no agent or underwriter
involved.
