     CBI Industries, Inc. (the "Company") is selling directly to
the CBI Pension Trust  in satisfaction of the Company's  funding
requirement to the CBI Pension Trust, 84,211 shares of its Common
Stock, $2.50 par value per share (the "Common Stock") having an
aggregate market value of $2,200,012.38 or $26.125 per share
based upon the closing price of the Common Stock on the New York
Stock Exchange on April 12, 1995.  There is no agent or
underwriter involved.
