APPOINTMENT OF PRINCIPAL OFFICERS.
(b) Resignation of a Director
Howard Socol, a director of Liz Claiborne, Inc. (the "Registrant") and a member
of the Registrant's Nominating and Governance Committee, has resigned effective
November 11, 2004. Mr. Socol resigned as a result of the announced acquisition
of Barneys New York, Inc., for which Mr. Socol is currently Chairman and Chief
Executive Officer, by a competitor of the Registrant, and the announced
continuation of his employment following the acquisition.
