ANNOUNCES PRICING OF SECONDARY OFFERING OF COMMON STOCK DES MOINES, Iowa (October 15, 2004) - EMC Insurance Group Inc. (Nasdaq/NM:EMCI) announced today the pricing of a secondary offering of 3,800,000 shares of common stock at $18.75 per share. The Company will sell 2,000,000 shares, and a selling stockholder, Employers Mutual Casualty Company, will sell 1,800,000 shares. The transaction is expected to close on October 20, 2004. The lead underwriter and sole book-running manager for the offering is Keefe, Bruyette & Woods, Inc. The co-managers for the offering are A.G. Edwards & Sons, Inc. and KeyBanc Capital Markets, a division of McDonald Investments Inc. The selling shareholder has granted the underwriters an option to purchase up to an additional 570,000 common shares to cover over-allotments, if any. If this over-allotment option is exercised in full, Employers Mutual's ownership of the Company would decline to approximately 51.5%.
