ITEM 2.  ACQUISITION OR DISPOSITION OF ASSETS

On April 8, 1997,  McNeil Real Estate Fund XIV,  Ltd.  sold Country  Hills Plaza
Shopping Center to P.O'B.  Apollo Ogden,  L.P., an unaffiliated  purchaser.  The
cash purchase price for the Ogden,  Utah property was $6,610,000.  Cash proceeds
from the sale, after payoff of the first mortgage note and various closing costs
and prorations, amounted to approximately $4,069,000.
