         On April 2, 1997, Total System Services, Inc. ("Registrant")  announced
an extension to the long-term  contract  with  Charlotte,  North  Carolina-based
NationsBank to continue processing its credit card portfolio until 2005.

referenced  above is attached hereto as Exhibit 99, and by this reference made a
part hereof.
