On  November  6,  2002,  there were  6,311,474  shares of  Registrant's  class A
nonvoting  common  stock issued and  5,979,202  shares of  Registrant's  class A
common stock issued and outstanding, no shares of Registrant's class B nonvoting
common shares  outstanding,  and 1,496,800 shares of Registrant's class C common
stock issued and outstanding.



ITEM 4. CONTROLS AND PROCEDURES

An evaluation of the effectiveness of the design and operation of our disclosure
controls and procedures as of November 13, 2002, was conducted under the
supervision and with the participation of our management, including our chief
executive officer and chief financial officer. Based on that evaluation, our
management, including our chief executive officer and chief financial officer,
concluded that our disclosure controls and procedures were effective as of
November 13, 2002.

In the quarter ended September 30, 2002, there were no significant changes in
the Company's internal controls or in other factors that could significantly
affect those controls subsequent to the date of their most recent evaluation,
including any corrective actions with regard to significant deficiencies and
material weaknesses.
