OTHER IMPORTANT EVENTS (a) The commpany has secured private placement financing for a total of USD$1,120,000. The sale, of 3.5 million shares at $0.08 per share to be completed no later than close of business on April 30, 2002. The stock will be issued pursuant to Rule 144. For each share purchased, the subscriber will receive 1.6 warrants to purchase additional common shares at a strike price of $0.15 per share until December 31, 2002. When the subscription has been completed, including the exercising of all warrants attached, the issued and outstanding common shares of the corporation will be 36,263,006. The funds raised will be used, in part, to purchase additional equipment to expand the manufacturing capacity to meet demand from new and existing customers.
