(a)   On December 15, 2004 the Registrant received notice from it's

      Certifying Accountant, Schwartz Levitsky Feldman llp, of Toronto

      of their resignation.


      The registrant, respectfully, accepts and recognizes the

      tendered resignation herewith and without malice.


      Furthermore, there are no disagreements on accounting

      practices and principles between the Certifying Accountant and

      the Registrant, as disclosed in the Certifying Accountant's last

      audit report for the fiscal year ending June 30, 2002.



(b)   No new Certifying Accountant has been engaged at the present

      time, however, a decision in this regard will be effected

      in a timely manner.
