         State below in reasonable detail the reasons why form 10-K, 11-K, 20-F,
10-Q or N-SAR or portion thereof could not be filed within the prescribed time
period.

         The Company underwent a change of control in December of 2000 as
reported in the Form 8-K filed by the Company on December 19, 2000. Subsequent
delays in gathering all of the information required to complete the audit of the
Company have prevented the completion of the audit and the Company's Form 10-
KSB. As a result of these problems the Company may not be able to file its Form
10-KSB on time without unreasonable effort or expense
