FEBRUARY 28, 2001

NOTE A--BASIS OF PRESENTATION

The accompanying unaudited financial statements have been
prepared in accordance with generally accepted accounting
principles for interim financial information and with the
instructions to Form 10-Q and Rule 10-01 of Regulation S-X.
Accordingly, they do not include all of the information and
footnotes required by generally accepted accounting principles
for complete financial statements. In the opinion of management,
all adjustments (consisting of normal recurring accruals)
considered necessary for a fair presentation have been included.
Operating results for the six months ended February 28, 2001 are
not necessarily indicative of the results that may be expected
for the year ended August 31, 2001. For further information,
refer to the financial statements and footnotes included in the
Company's annual report on Form 10-K for the year ended August
31, 2000.
























Item 2. Management's Discussion and Analysis of Financial
        Conditions and Results of Operations.

Currently Allure Cosmetics, Ltd. is not doing any business and
it is the intention of management to try to reorganize, while
the Company has no specific plans at this time, it is the
intention of management to explore the possibility of
reorganization without the use of the protection afforded under
bankruptcy laws, however it does not rule out the possibility
should it choose to do so.

The Company had zero sales in the second quarter of fiscal 2000
the same as the same quarter of fiscal 1999.

The ratio of current assets to current liabilities was 0.00 at
the end of the second quarter of fiscal 2000 as compared to 0.00
the same period of 1999.

The Company had a working capital deficit of $172,627 at
February 28, 2001 as compared to a working capital deficit of
$156,590 at February 29, 2000; the working capital deficit is
mainly attributed to the operating losses.
