Item 8.01. Other Events.

     On Thursday, February 9, 2012, the odd lot tender offer (the "Offer")
commenced by Biggest Little Investments, L.P., a Delaware limited partnership
(the "Partnership") to purchase all of its outstanding units of limited
partnership interest (the "Units") held by limited partners owning up to an
aggregate of ten units at a price of $140 per Unit expired. The Offer resulted
in the tender by limited partners, and purchase by the Partnership, of 228
Units. Units repurchased pursuant to the Offer will be canceled and will have
the status of authorized but unissued Units.
