Appointment of Principal Officers.
On September 30, 2004, Ellen C. Wolf, Senior Vice President and Chief
Financial Officer of USEC, Inc. was appointed to the Board of Directors of C&D
Technologies, Inc.
Ms. Wolf will be serving on the audit committee.
