Item 1.01 Entry into a Material Agreement.
On July 29, 2005, C&D's Board of Directors determined that Kevin P. Dowd,
William Harral, III and John A. H. Shober each be paid by the Corporation the
sum of $5,000 for participation on the Board of Director's Search Subcommittee,
which resulted in the appointment of Dr. Jeffrey A. Graves as President and
Chief Executive Officer of C&D Technologies, Inc.
Item 7.01 Regulation FD Disclosure.
On July 29, 2005, C&D's Board of Directors declared a cash dividend in the
amount of $.01375 per outstanding share of Common Stock, payable on September 6,
2005, to stockholders of record as of the close of business on August 22, 2005.
A copy of the press release announcing this dividend is attached as Exhibit 99.1
to this Current Report on Form 8-K.
