                                    NARRATIVE

State below in reasonable detail why the Form 10-K, 11-K, 20-F 10-Q, N-SAR or
the transition report portion thereof could not be filed within the prescribed

In March 2005,  the Company  contacted the  Securities  and Exchange  Commission
(SEC) to request guidance on a certain accounting matter. The SEC confirmed that
the  matter  was  being  handled  properly  by the  Company.  As a result of the
inquiry, and related delays in finalizing the review process, the Registrant has
determined  that additional time is needed to finalize its Annual Report on Form
10-K for the year ended December 31, 2004, and the financial  statements for the
year ended  December  31,  2004  required to be  included  therein.  The Company
expects to file its Form 10-KSB no later than April 15, 2005.
