missing.  Registrant desires to withdraw Post-Effective Amendment
No. 34 and intends to immediately file the appropriate Post-
Effective Amendment No. 35.  The IDS Certificate Company Board of
Directors elected a new chairman and president after Amendment No.
34 was filed.  These changes are reflected on the signature pages
for the Post-Effective Amendment No. 35.  New Powers of Attorney
also are included.
