          (the Company)

Dear Commissioners:

     The Company hereby withdraws its Application/Declaration on Form U-1,
Commission's File No. 70-8383 dated March 14, 1994.  The filing was
subsequently amended twice and noticed by the Commission on April 15 1994,
Release No. 35-26027.  The Company wishes to withdraw the filing because
regulatory changes have taken place in the meantime and it does not wish to
pursue authorization for the proposed financing on the terms listed in the
filing.  Instead, the Company and New England Electric System plan to file a
new Application/Declaration of Form U-1 reflecting an updated proposed
financing.
