     The issuer does not have enough holders of record of its common stock under
section 12(g)(1)(B) of the Exchange Act to be subject to the mandatory
registration provisions of Section 12(g). Therefore the issuer does not qualify
to use Form 8-A under those mandatory registration provisions.
