Item 5.  Other Events.


Reference is made to Note 2.  Commitments and Contingencies - 

Labor Issues in the Condensed Notes to Financial Statements of 

the CIPSCO and CIPS combined Form 10-Q Quarterly Report for the 

quarter ended March 31, 1996, and to Item 7.  Management's 

Discussion and Analysis of Financial Condition and Results of 

Operations under the caption "Labor Issues" and to Note 4 of 

Notes to Consolidated Financial Statements under the caption 

"Labor Issues" in the 1995 CIPSCO and CIPS combined Annual Report 

on Form 10-K for information regarding labor matters.


On May 20, 1996, an administrative law judge of the National 

Labor Relations Board ("NLRB") issued a ruling which found in 

favor of the International Union of Operating Engineers Local No. 

148 ("IUOE") and the International Brotherhood of Electrical 

Workers Local No. 702 ("IBEW") in their claim that the lockout of 

bargaining unit employees by CIPS during a labor dispute in 1993 

was unlawful.  CIPS is currently reviewing the ruling and expects 

to file exceptions to the decision with the office of the NLRB in 

Washington, D.C.  Management believes the lockout was both lawful 

and reasonable and that the final resolution of the dispute will 

not have a material adverse effect on financial position, results 

of operations or liquidity of the Company or CIPS.
