ITEM 1. DESCRIPTION OF REGISTRANT'S SECURITIES TO BE REGISTERED
The securities to be registered hereunder are common shares of
beneficial interest, $.01 par value per share (the "Shares"), of First Trust
Tax-Advantaged Preferred Income Fund (the "Registrant"). An application for
listing of the Shares has been filed with the American Stock Exchange, Inc. A
description of the Shares is contained under the caption "Description of
Shares," at page 35 of the Preliminary Prospectus, which is a part of the
initial Registration Statement on Form N-2 (Registration Nos. 333-132639 and
811-21876), filed with the Securities and Exchange Commission on March 22, 2006.
