Subject to the terms and conditions of the Merger Agreement, all of the outstanding shares of common stock, par value $.01 per share, of the Company (the "Common Stock"and preferred stock, par value $.01 per share, of the Company (the "Preferred Stock") not owned by the Purchaser will be purchased at a price of $5.00 per share, and $8.00 per share, respectively, net to the seller in cash. - ------------ 1 The Company has 2,320,007 shares of Common Stock and 447,466 shares of Preferred Stock outstanding. 672,500 shares of Common Stock are owned by the Purchaser.
