ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On Monday, October 18, 2004, the Registrant issued a press release disclosing
financial results for the quarter ended September 30, 2004. The press release is
made part of this Form and is attached as Exhibit 99.1.
