Registrant's operations are conducted in both the United States and Canada.
Logistical difficulties in the interchange of financial data between
Registrant's New Jersey and Canadian facilities will preclude filing of the
subject Report by the prescribed due date.

Registrant anticipates that it will report net income of $593,037, or $0.06
per share, upon revenues of $14,114,870 for its fiscal year ended June 30, 2001
as compared to a net loss of $(13,121), or $-- per share, upon revenues of
$6,181,562 for its fiscal year ended June 30, 2000.
