filed within the prescribed time period.

The Form 10-K for the fiscal  year-ended  September  31, 2001 could not be filed
within the prescribed  time period without  unreasonable  effort or expense as a
result of a combination of significant  factors primarily related to sale by the
registrant of a portion of its business  which was  effective  November 26, 2001
and the subject of  Amendment  No. 1 on Form 8-K filed with the  Securities  and
Exchange  Commission  on December  10,  2001,  and a delay  (pending  payment of
outstanding  invoices  from  proceeds  of such sale) in the  performance  of the
year-end audit by registrant's independent accountants.
