Of these shares, 500,000 have been reserved for issuance under the 1994 Stock Plan, as amended (the "Plan"). The remaining 43,488 shares were granted outside of the Plan pursuant to other employee benefit plans, as that term is defined in Rule 405 of the Act. As your legal counsel, we have examined the proceedings taken and are familiar with the proceedings proposed to be taken by you in connection with the sale and issuance of the Shares being registered.
