The Rule 13e-3 Transaction Statement on Schedule 13E-3 that was filed by
Scanforms, Inc., a Delaware corporation (the "Company"), SCFM Corp., a Delaware
corporation ("SCFM"), Robert A. Samans ("Mr. Samans") and Sebastian A.
Carcioppolo ("Mr. Carcioppolo") on April 11, 1996 is hereby amended in its
entirety to provide that:
"The proposed merger of SCFM with and into the Company pursuant to an
Agreement and Plan of Merger, dated as of February 15, 1996, as
amended as of April 4, 1996 (the "Merger Agreement"), between the
Company and SCFM has been abandoned by the parties thereto and the
Merger Agreement has been terminated by agreement of each of the
parties thereto."
