This form or one substantially equivalent hereto must be used by
registered holders of outstanding Series C 10% Senior Notes due 2006 (the "Old
10% Notes") of AmeriGas Partners, L.P. and AmeriGas Eagle Finance Corp.
(collectively, the "Issuers") who wish to tender their Old 10% Notes in exchange
for a like principal amount of Series D 10% Senior Notes due 2006 (the
"Registered 10% Notes") of the Issuers pursuant to the exchange offer described
in the Prospectus, dated ________, 2001 (the "Prospectus") if the holder's Old
10% Notes are not immediately available or if such holder cannot deliver its Old
10% Notes and Letter of Transmittal (and any other documents required by the
Letter of Transmittal) to First Union National Bank (the "Exchange Agent") prior
to 5:00 p.m., New York City time, on [insert Expiration Date]. This Notice of
Guaranteed Delivery may be delivered by hand or sent by facsimile transmission
(receipt confirmed by telephone and an original delivered by guaranteed
