ITEM 2.02     RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On November 9, 2005, Infocrossing, Inc., (the "Company") announced its results
of operations and financial condition for the three and nine-month periods ended
September 30, 2005 by means of the press release attached hereto as exhibit 99.

ITEM 7.01     REGULATION FD DISCLOSURE

In the press release noted above, the Company also supplemented previously
announced guidance for 2006 by indicating that free cash flow is expected to be
between $25 and $29 million. Free cash flow for the three and nine months ended
September 30, 2005 was also disclosed. Free cash flow is defined as cash flow
from operations less disbursements for capital expenditures. A reconciliation
of cash flows from operations to free cash flow is included in the press
release.
