within the prescribed time period.

     The Registrant was unable to file the Annual Report on Form 10-K for the
fiscal year ended December 31, 2000 (the "Report) without unreasonable effort or
expense due to the fact that the Registrant is in the process of winding-up its
business operations and was unable to assemble certain information necessary for
inclusion therein.
