(NYSE:PX) and CBI Industries, Inc. (NYSE:CBI) announced today that they have signed a definitive merger agreement in which Praxair will pur- chase all outstanding common shares of CBI for $33.00 per share in cash. The Boards of Directors of both companies have unani- mously approved the agreement. To complete the transaction, Praxair said that it intends next week to amend its tender offer commenced on November 3, 1995 to increase its offering price to $33.00 per share. Consummation of the tender offer is subject to terms and conditions to be set forth in the tender offer.
