This Amendment No. 1 amends and supplements the Tender Offer Statement on
Schedule TO (the "Schedule TO") filed with the Securities and Exchange
Commission on October 24, 2001, by The Latin America Equity Fund, Inc., a
Maryland corporation (the "Fund"), relating to the offer by the Fund to purchase
for cash up to 1,312,576 of the Fund's issued and outstanding shares of Common
Stock, par value $0.001 per share, upon the terms and subject to the conditions
set forth in the Offer to Purchase (the "Offer to Purchase") and in the related
Letter of Transmittal, copies of which are attached as Exhibits (a)(1) and
(a)(2) to the Schedule TO (the "Tender Offer").
The Schedule TO is hereby amended and supplemented by adding the following:
6,080,349 shares of the Fund's Common Stock were tendered in the Tender
Offer, prior to the expiration of the Tender Offer at 5:00 p.m., New York City
time, on November 21, 2001. The Fund accepted 1,312,576 shares of Common Stock
for payment at a price of $13.25 per share. On a pro-rated basis, 21.59% of the
shares of Common Stock tendered by each tendering stockholder were accepted for
payment.
Reference is hereby made to the press release issued by the Fund on
November 21, 2001 a copy of which is attached hereto as Exhibit (a)(9) and is
incorporated herein by reference and the press release issued by the Fund on
November 28, 2001 a copy of which is attached hereto as Exhibit (a)(10) and is
incorporated herein by reference.
